The Alteration of Name clause in a Memorandum of Association of a company can be altered by a special resolution, with the approval of the central Government in writing. If the company has changes its name clause made under section 13(2), the Registrar shall enter the changed new name in the place of the old name in Registrar of companies and issue a fresh certificate of incorporation and thus the process is complete and effective on the issue of such a certificate.
The process of changing the name of a private limited company is as follow
â€¢ Obtaining Board of Directors Approval for change of name
â€¢ Availability of name to be checked
â€¢ Special Resolution to be passed for change of company name
â€¢ Application for Name Change of the Company to the Registrar
â€¢ Issuance of New Certificate of Incorporation.
â€¢ Changes to MOA and AOA.
